1. Services
We provide software development, SaaS, web, mobile, marketing, SEO and branding services. The specific scope, deliverables and pricing of any engagement are set out in a written proposal or statement of work signed by both parties.
2. Client responsibilities
You agree to provide accurate information, timely feedback and any access required to deliver the agreed services. Delays caused by missing information or approvals may impact timelines and costs.
3. Payments
Fees are invoiced in USD through compliant payment providers. Unless agreed otherwise, projects require 50% upfront and 50% on delivery; retainers are billed monthly in advance. Late payments may incur reasonable interest as permitted by law.
4. Intellectual property
Upon full payment, you receive ownership of the custom code, designs and content created specifically for your project. We retain rights to our pre-existing tools, libraries and methodologies.
5. Confidentiality
Both parties agree to keep confidential information shared during the engagement private and to use it only for the purpose of delivering the services.
6. Warranties and disclaimers
We deliver services with reasonable care and skill. To the maximum extent permitted by law, our services are provided on an "as is" basis and we disclaim all implied warranties not expressly stated in the engagement contract.
7. Limitation of liability
To the maximum extent permitted by law, our total liability arising from any engagement is limited to the fees paid by you for the specific services giving rise to the claim during the preceding three months.
8. Termination
Either party may terminate an engagement in writing with reasonable notice. You agree to pay for all work completed and reasonable expenses incurred up to the termination date.
9. Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law principles.
